Partnership agreement

Please read the agreement document below carefully before registering.

I accept these terms and wish to register.

1) Term of the Agreement: The term of this Agreement will begin upon our acceptance of your Partnership application and will end when terminated by either party. We will check your site to see that it is suitable for our Programme. If we refuse permission for entry into the Programme, we are under no obligation to explain why. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice (by email or post) of termination. You are only eligible to earn referral fees on sales occurring during the term.

2) Commission rates and payments: Commission is calculated at 5% of the price at which the items are sold, i.e. the discounted price, excluding postage and packing costs.

Commission will be paid quarterly, normally within 30 days of the end of January, April, July and October. Payments will be by cheque in UK pounds sterling and will cover the quarter just finished. Accrued commission totalling less than £100.00 will be held until it exceeds £100.00 at the end of a quarter. All referred orders will be deemed to be pending until they have been paid for and received by the customer; until this time referral commission will not be applicable. If items are returned to History Bookshop.com for refund the commission earned will be deducted from the next payment.

Commission can be earned if a referred visitor buys items from History Bookshop up to 1 day after the referral.

Fees will not be paid on your personal orders and if you use the Programme for this purpose we may terminate this agreement and/or withhold any outstanding fees.

3) Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and at our sole discretion, by posting a change notice or a new agreement on this site and/or by notifying you of changes by email. This acceptance will be deemed for all purposes to have been effectively communicated to you whether or not you have received that email. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Programme rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAMME FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

4) Limitation of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Programme, including any disruption caused by technical or operational difficulties with the History Bookshop.com site, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Programme will not exceed the total referral fees paid or payable to you under to this Agreement.

5) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAMME AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

6) Content: All content on History Bookshop.com, whether textual or graphical, is the copyright of History Bookshop.com or our suppliers. We encourage partners to use some of this content on their own web sites, but this can only be done by prior written agreement from History Bookshop.com. History Bookshop.com cannot accept liability (including liability for any indirect loss or loss of profits or turnover) for any content that you may use on your site or the result of any use made of it. The content on History Bookshop.com is for information only and is supplied on an ‘as is’ basis only. We have used reasonable care and skill in compiling the content of this site but make no warranty, express or implied, as to its nature or accuracy. Any content, including price and availability information, may change without notice and for this reason we advise you not to include price or availability details on your site.

History Bookshop will take no responsibility for any inaccuracies in the information or product descriptions on your site. We are not responsible if you use another party's copyrighted material.

7) Miscellaneous: When a visitor has come through from your site to ours, they will be deemed to be a customer of History Bookshop.com. Any information that we collect from our about our customers will be retained by us. Please refer to our Privacy Policy. We reserve the right not to deal with any customer or visitor.

This Agreement will be governed by English Law and all disputes shall be submitted to the non-exclusive jurisdiction of the English courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
